INTEGRATIVE PRIMARY CARE MEMBERSHIP AGREEMENT

This Membership Agreement (“Agreement”) is entered into between Serenity Pediatric Wellness LLC (“SPW,” “Practice,” “we,” or “us”) and the parent or legal guardian identified below (“Member” or “you”) on behalf of the enrolled child(ren). This Agreement governs the terms of your membership in SPW’s Integrative Primary Care program.

This Agreement does not constitute a contract for insurance. Membership fees are for primary care access and services as described herein and are not a substitute for health insurance coverage.

1. MEMBERSHIP ENROLLMENT

Membership begins upon receipt of a signed Agreement, payment of the enrollment fee (if applicable), and confirmation by SPW. SPW reserves the right to decline enrollment at its discretion.

Enrollment Fee

$199.00 per family, paid once at enrollment. Non-refundable.

Minimum Commitment

All memberships require a minimum 3-month commitment beginning on the first day of the billing cycle. After the initial 3-month period, membership continues on a month-to-month basis until cancelled in accordance with Section 4.

2. MEMBERSHIP FEES & PRICING

Standard Monthly Rates

Fees are charged per enrolled child at the age-appropriate rate:

0 – 12 months $200.00

1 – 5 years $150.00

6 years and older. $125.00

Family Pricing

  • First enrolled child: standard age-appropriate rate above.
  • Each additional sibling in the same household: $100.00/month.
  • Family monthly maximum: $400.00/month (covers all enrolled children in the household).

Prepayment Discounts (Optional)

  • 6-month prepayment: 5% discount applied to total prepaid amount.
  • 12-month prepayment: 10% discount applied to total prepaid amount.

Prepaid amounts are non-refundable except in the event of practice closure or termination by SPW.

Rate Adjustments

SPW may adjust membership rates for new enrollments at any time. Your rate will remain fixed as long as your membership remains active and in good standing. If membership lapses and you re-enroll, current published rates apply.

3. SPECIAL PRICING PROGRAMS

Foundational Family Program (Limited — First 15 Families)

Qualifying families who enroll as founding members receive:

  • Enrollment fee waived (a $199 savings).
  • $25.00 monthly credit applied to membership fees for the first 6 months of enrollment.

After 6 months, the monthly credit expires and standard rates apply. This program is limited to the first 15 enrolling families and is not transferable.

*Moonrise Birth Collective Partner Discount

Families referred through Serenity Pediatric Wellness’s partnership with Moonrise Birth Collective receive a permanent $25.00 monthly credit applied to their membership fee, regardless of the child’s age tier. This credit:

  • Applies for the duration of active, continuous membership.
  • Is fixed and does not change as the child moves between age tiers.
  • Does not stack with the Foundational Family credit (the higher of the two applies if both are applicable).
  • Is forfeited if membership lapses and requires re-enrollment.

4. BILLING & PAYMENT

Monthly membership fees are charged automatically on the same calendar date each month to the payment method on file. By enrolling, you authorize SPW to charge your payment method on a recurring monthly basis.

  • Payments are due on the first day of each billing cycle.
  • A grace period of 5 business days applies to failed payments before services may be suspended.
  • Accounts more than 30 days past due may result in membership termination.
  • SPW does not bill insurance for membership fees. Superbills are available upon request for families seeking possible out-of-network reimbursement (coverage varies by plan and is not guaranteed).

5. INCLUDED MEMBERSHIP SERVICES

Your membership includes the following for each enrolled child:

Primary Care Visits

  • Age-appropriate well-child visits with extended appointment time.
  • Sick and acute care visits (in-office or telehealth).
  • Integrative care planning and whole-child wellness guidance.
  • Developmental screening and anticipatory guidance.

Access & Communication

  • After-hours urgent communication via Spruce (per SPW’s Communication Policy).
  • Telehealth visits for established patients.
  • Direct access to Dr. Rosario for questions and care guidance between visits.

Preventive & Integrative Care

  • Vaccines and routine age-appropriate screenings.
  • Point-of-care laboratory testing, including: rapid strep, influenza, RSV, and bilirubin.
  • Care coordination and referrals when specialty care is needed.
  • Foundational health guidance (sleep, nutrition, feeding, gut health, environment, resilience).

Home Visits

  • Home visits are included at no additional travel charge for children from birth through 12 months of age.
  • After 12 months of age, home visits remain available with a travel fee based on distance from SPW’s primary location (630 N Denning Drive, Winter Park, FL 32789):
  • Within 20 miles: $75.00 travel fee per visit.
  • Beyond 20 miles (within service area): $100.00 travel fee per visit.

6. SERVICES NOT INCLUDED

The following are not covered by membership and will be billed separately or directed to appropriate providers:

  • Laboratory and imaging services beyond point-of-care testing listed above (billed through third-party labs).
  • Specialist care (Gastroenterology, Allergy/Immunology, Dermatology, Pulmonology, Neurology, etc.).
  • Urgent care, emergency room, or hospital-based services.
  • Procedures or services outside SPW’s defined scope of practice.
  • Any service not explicitly listed as included in this Agreement.

7. Vaccine Policy and Family Choice (Membership)

SPW welcomes questions and supports families in making informed decisions. We believe vaccines are an important tool for preventing serious illness, hospitalization, and complications, especially in infancy and early childhood.

At Serenity Pediatric Wellness:

  • We do not refuse care to a child based on vaccination status.
  • We listen first, without judgment or pressure.
  • We partner with parents to make informed decisions and revisit options at wellness visits.
  • We practice evidence-based medicine with a focus on safety and prevention.

Fit for membership: Membership works best for families who are willing to engage in open conversations about vaccines. If a family prefers not to participate in these conversations, SPW may determine that membership is not the best fit and will assist with a caring transition of care so the child continues to have support.

8. CANCELLATION & TERMINATION

Cancellation by Member

After the initial 3-month commitment period, you may cancel membership at any time by providing 30 days written notice to SPW via email at info@serenitypediatricwellness.com. Membership fees will continue to accrue during the 30-day notice period. No refunds will be issued for the notice period.

Re-Enrollment After Cancellation

If you cancel and later wish to re-enroll, a re-enrollment fee of $250.00 per family applies. Re-enrollment is subject to panel availability and will be at current published rates. Prior promotional pricing, Foundational Family credits, and locked rates do not carry over after a lapse in membership.

Termination by SPW

SPW may terminate this Agreement with 30 days written notice, or immediately for cause, including but not limited to: non-payment, repeated boundary violations, abusive or threatening behavior toward staff, or clinical needs that exceed SPW’s scope or capacity. When appropriate, SPW will assist with a respectful transition of care.

9. COMMUNICATION POLICY

Members communicate with SPW through Spruce Health, per SPW’s Communication Policy. Spruce is not for emergencies. If your child is experiencing a medical emergency, call 911 or proceed to the nearest emergency room immediately.

Response times for non-urgent messages are typically within one business day.

10. NOT INSURANCE

This Agreement is not a contract for health insurance and does not satisfy any insurance mandate or requirement. Members are encouraged to maintain health insurance for services outside SPW’s scope, including specialist care, hospitalizations, emergency services, and advanced diagnostics.

11. PRACTICE FIT & SCOPE

SPW maintains a small, intentional panel to provide high-quality, relationship-based care. SPW may decline to initiate or may end a membership if, in SPW’s clinical judgment, the relationship is not a good fit, a child’s needs consistently exceed SPW’s scope or capacity, or continued enrollment is not in the child’s best clinical interest. SPW will communicate openly and support an appropriate transition of care in such circumstances.

12. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Florida. Any disputes arising under this Agreement shall be resolved in Orange County, Florida.
